1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of tvpcards.com, content published by tvpcards on third-party platforms (TikTok, Instagram, X, YouTube, Threads), and any other services we operate (collectively, the "Services"). The Services are operated by True Value Protocol LLC, a Texas limited liability company ("tvpcards," "TVP," "we," "us," "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Nature of the Services

tvpcards publishes algorithmic and editorial commentary on the secondary market for sports trading cards. The Services may include written commentary, video content, charts, valuation estimates, market reads, and similar editorial output (collectively, "Content"). Content reflects our analysis of publicly available data and is offered for informational and educational purposes only.

The Services do not:

• Sell or broker the sale of trading cards;
• Authenticate or grade trading cards;
• Hold inventory or take positions in cards we comment on (except as separately and clearly disclosed);
• Receive payment from auction houses, grading services, or sellers in exchange for editorial coverage.

3. Not financial, investment, or professional advice

Trading cards are collectibles, not securities. Content published by tvpcards is editorial market commentary about a collectibles market and is not, and should not be construed as:

• Investment advice, financial advice, or a recommendation to buy, sell, or hold any asset;
• An offer or solicitation to buy or sell any security or financial product;
• Tax, legal, or accounting advice;
• A guarantee or prediction of any specific outcome, return, or appreciation.

Valuations, verdicts, and price ranges reflect our reading of available comparable sales data at the time of publication. Markets move. Comp data is incomplete. Verdicts can be wrong. You are solely responsible for your own purchasing, selling, and collecting decisions. Consult appropriately qualified professionals for advice specific to your situation.

4. Eligibility

You must be at least 13 years old to use the Services (16 in the European Economic Area and certain U.S. states). If you are under the age of majority in your jurisdiction, you may use the Services only with the involvement of a parent or legal guardian. The Services are not directed to children, and we do not knowingly collect personal information from children as described in our Privacy Policy.

5. License to use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Services for your personal, non-commercial use. This license does not include the right to:

• Reproduce, distribute, modify, or create derivative works of Content for commercial purposes without our prior written consent;
• Resell, sublicense, or otherwise commercially exploit the Services;
• Use automated means (scrapers, bots, crawlers) to access the Services in a manner that violates these Terms or applicable law;
• Reverse engineer, decompile, or attempt to extract source code from any tools or applications we operate.

Editorial fair use — quoting brief excerpts of Content with attribution for commentary, criticism, news reporting, teaching, or research — is permitted consistent with applicable law.

6. Prohibited conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law;
• Misrepresent yourself or impersonate tvpcards or its operators;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or any systems or networks connected to them;
• Submit malicious code, malware, or anything intended to damage the Services or other users;
• Harvest, collect, or attempt to identify users of the Services;
• Use the Services to defame, harass, threaten, or harm others;
• Use the Services in connection with any pump-and-dump scheme, market manipulation, or other deceptive market practice involving trading cards or any other asset class.

7. User-submitted content

The Services do not currently accept user-submitted content. If and when features are introduced that allow you to submit content (e.g., uploading a card photo for valuation, posting in a community forum), additional terms will govern that submission. By submitting content to the Services, you will grant us a worldwide, royalty-free, non-exclusive license to use that content for the purpose of operating the Services and as otherwise described in the additional terms.

Email correspondence to [email protected] may be quoted, paraphrased, or referenced anonymously in Content. If you wish your correspondence to be off the record, please indicate so in your message.

8. Intellectual property

All Content, including text, graphics, logos, marks, the "TVP Protocol" name and brand, the tvpcards wordmark, designs, software, and the selection and arrangement of all of the foregoing, is the property of True Value Protocol LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

"tvpcards," "TVP," "True Value Protocol," and the cursor wordmark are trademarks of True Value Protocol LLC. References to third-party trademarks (Panini, Topps, PSA, SGC, Beckett, Card Ladder, Sports Card Investor, eBay, Goldin, Heritage, Fanatics, individual sports leagues, teams, or athletes) are made for editorial commentary, identification, or comparison purposes only. No endorsement or affiliation is implied.

Card images displayed in Content are typically sourced from publicly listed auction or marketplace listings and are used for editorial commentary purposes consistent with fair use principles. If you are a rights holder and believe Content infringes your rights, please contact [email protected] with a description of the work and the specific Content at issue.

9. Third-party platforms and links

The Services include or link to third-party platforms (TikTok, Instagram, X, YouTube, Threads, auction sites, news sources, etc.). We do not control, endorse, or assume responsibility for third-party content, products, services, or practices. Your use of third-party platforms is governed by those platforms' own terms and privacy policies.

10. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, tvpcards disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, security, uninterrupted operation, and that the Services will meet your requirements.

Without limiting the foregoing, we make no warranty that:

• Any valuation, verdict, or price estimate is accurate, current, or will reflect actual market prices at any time;
• Any card discussed in Content will appreciate, depreciate, or maintain its value;
• Comp data referenced in Content is complete or free from error;
• The Services will be available without interruption or be free from defects.

You assume all risk of relying on Content. Card markets are volatile and can be affected by factors that cannot be predicted from comp data alone, including injury, performance, scandal, league actions, manufacturing changes, supply shocks, and macroeconomic conditions.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUE VALUE PROTOCOL LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost data, or lost goodwill, arising out of or in connection with the Services or these Terms, regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Without limiting the foregoing, our total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total amounts paid by you to tvpcards during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent applicable law in your jurisdiction prohibits any of the limitations above, those limitations do not apply to you, and our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless True Value Protocol LLC and its members, managers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Services;
• Your violation of these Terms;
• Your violation of any third-party right, including intellectual property or privacy rights;
• Your purchasing, selling, trading, or holding decisions involving trading cards or any other asset.

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, the provisions of these Terms that by their nature should survive (including disclaimers, limitations of liability, indemnification, governing law, and general provisions) shall survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

Class action waiver. To the fullest extent permitted by law, you and tvpcards each agree to bring any dispute against the other only on an individual basis and not as a class member or class representative in any purported class or representative proceeding.

Nothing in this section limits either party's right to seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or other rights.

15. Changes to these Terms

We may revise these Terms from time to time. The "last updated" date at the top indicates the current version. Material changes will be communicated through a prominent notice on tvpcards.com. Your continued use of the Services after the revised Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Services.

16. General

• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and tvpcards regarding the Services and supersede any prior agreements on the same subject.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets.
• No partnership. Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship between you and tvpcards.
• Force majeure. We are not liable for any failure or delay in performance due to causes beyond our reasonable control.
